The U.S. Securities and Exchange Commission recently proposed rules that would enhance the disclosure responsibilities of reporting issuers and regulate interactions between officers and directors and auditors. These rules have been mandated by Sections 303(a), 404, 406 and 407 of the Sarbanes-Oxley Act of 2002, and set out new requirements with respect to: internal controls, codes of ethics, "financial experts" on a firm audit committees, and auditor interference.
