Congress has passed, and President Bush has signed into law, the Sarbanes-Oxley Act of 2002 (the "Act"). The Act is largely a response to the corporate and accounting scandals that have enveloped the United States during the past year. It sets forth new corporate governance, disclosure, audit and conflicts of interests standards affecting issuers, directors, officers, employees, attorneys, auditors and investment banks.
