In the wake of the recent reports of accounting irregularities at public companies and in an effort to restore investor confidence, Congress passed the Sarbanes-Oxley Act of 2002, which was signed by President George W. Bush on July 30, 2002. The act covers many aspects of corporate governance and establishes new legal requirements for public companies, their directors and officers as well as for the accounting and legal profession. Of particular importance, are the act's new financial disclosure and reporting requirements for public companies and their senior executives and officers.
